Terms & Conditions of Sale

These terms form the framework for business-to-business supply by Icebrook. Individual transactions may be governed by a separate signed agreement, which prevails where it conflicts with these terms.

Quotations

Quotations are indicative and valid for the period stated. A quotation is not an offer capable of acceptance unless expressly stated.

Purchase orders and order acceptance

A purchase order becomes binding when Icebrook issues a written order confirmation. Icebrook may decline or limit an order, including where required by law or where product availability does not permit fulfilment.

Pricing, taxes and currency

Prices, currency and any applicable taxes, duties or levies are stated in the quotation or order confirmation for each transaction. Unless expressly stated, prices exclude taxes, duties and freight.

Payment terms

Payment terms, deposits, payment methods and any security requirements are agreed per transaction and stated in the order confirmation.

Minimum order quantities and availability

Minimum order quantities, case and pallet configurations, production lead times and availability are confirmed per transaction. Production capacity and market availability may limit what can be supplied.

No minimum order quantity is published on this website; it is set in each quotation.

Delivery, freight and Incoterms

Delivery terms are agreed for each transaction and identified using a named Incoterms rule — for example EXW, FOB, CIF or DDP — together with the named place and the applicable Incoterms edition.

The Incoterms rule for a transaction is specified in the quotation or order confirmation; none is assumed by default.

Export documentation, customs and duties

Responsibility for export and import formalities, customs clearance, duties, taxes and destination-market registration follows the agreed Incoterms rule and any additional written agreement between the parties.

Transfer of title and risk

Risk transfers in accordance with the agreed Incoterms rule. Title transfers on receipt of payment in full unless otherwise agreed in writing.

Inspection, damaged shipments and short shipments

Goods must be inspected on delivery. Visible damage, shortages or discrepancies must be recorded on the delivery documentation and notified to Icebrook within the period stated in the order confirmation, with supporting photographs and lot identification.

Product claims

Quality claims must be submitted with product name, format, lot or batch identification, best-before information, quantity affected, storage history and photographic evidence. Icebrook will investigate and respond with the outcome and any remedy available.

Storage, handling and resale

The buyer is responsible for storing and handling product in accordance with the storage conditions supplied, for maintaining lot traceability, and for ensuring that resale, labelling and marketing in the destination market comply with applicable local requirements.

Product recall cooperation

Both parties agree to cooperate promptly and in good faith, and to share relevant lot and distribution records, if a product withdrawal or recall becomes necessary.

Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including production interruption, transport disruption, extreme weather and governmental action.

Intellectual property and confidentiality

No intellectual property rights transfer under a supply transaction. Brand assets may be used only as authorised in writing. Commercial information exchanged between the parties is treated as confidential where identified as such.

Limitation of liability

Liability is limited as agreed in the order confirmation or supply agreement, and in any event excludes indirect and consequential loss to the extent permitted by applicable law. Liability that cannot lawfully be excluded is unaffected.

Governing law and dispute resolution

Governing law, forum and any arbitration mechanism for international transactions are specified per agreement and confirmed before publication of these terms.

International transactions

International supply is subject to applicable sanctions, export controls and destination-market requirements. See Sanctions & International Trade.

Product specifications, documentation and availability may vary by product and market. Regulatory requirements are assessed for individual destination markets.
